These Terms are governed by Italian law and subject to the exclusive jurisdiction of the Court of Siena (Italy).

2. Service Description

The App allows employees of Smartway’s client companies to access key information about their corporate offsite and to communicate internally with colleagues through a private chat and photo feed.
Smartway staff may also use the App to share communications and updates necessary for the proper organization of the event.

3. Access and Use of the App

• The App is exclusively reserved for employees of Smartway client companies.

• While there is no explicit age restriction, only employees legally employed by companies (18+) are eligible to use the App.

• Each user has a personal account with unique login credentials.

• Users may register freely, but if the email address is not linked to an invited offsite, no content will be visible.

4. User Conduct

Users agree not to:

• Upload or share illegal, offensive, defamatory, discriminatory, or otherwise inappropriate content.

• Use the chat or feed for spam, commercial promotion, or personal advertising.

• Interfere with the security, functionality, or integrity of the App.

• Attempt to access accounts or data belonging to other users without authorization.

Violation of these rules may result in account suspension or removal.

4b. Prohibited Conduct and Zero Tolerance Policy

Smartway maintains a zero-tolerance policy for any form of objectionable, offensive, or abusive behavior.

Users are strictly prohibited from posting, sharing, or engaging in any conduct that may be considered:

– Harassing, threatening, defamatory, or discriminatory;

– Violent, obscene, pornographic, or otherwise inappropriate;

– Hateful, racist, or promoting illegal activities;

– Disruptive to other users, Smartway staff, or the integrity of the platform.

Any violation of this policy may result, at Smartway’s sole discretion, in the immediate suspension or permanent termination of the user’s account, without prior notice.

Smartway also reserves the right to take any additional actions deemed appropriate, including reporting the conduct to authorities and pursuing legal remedies to the fullest extent permitted by law.

By using the platform, users acknowledge and agree that Smartway may monitor communications and activity to ensure compliance with these Terms.

5. Fees and Payments

The App is free of charge for end users.
Costs related to the App are borne by the company contracting with Smartway.
No in-app purchases, subscriptions, or paid upgrades are provided.

6. Intellectual Property

• All intellectual property rights related to the App (including but not limited to software, design, logo, texts, and images) remain the exclusive property of Smartway S.r.l.

• Users retain ownership of the content they upload (e.g., profile pictures, chat messages, photos).

• By uploading content, users grant Smartway a limited, non-exclusive, revocable license to process and display such content strictly for the operation of the App.

• Uploaded content is visible only to other participants of the same offsite and employees of the same company, and is not made public.

7. Limitation of Liability

• The App is provided “as is” and “as available.”

• Smartway shall not be held liable for service interruptions, technical errors, loss of data, or downtime beyond its reasonable control.

• Smartway shall not be responsible for misuse of the App or inappropriate content shared by users.

8. Updates to the Terms

Smartway may update or amend these Terms at any time.
Users will be notified of material changes via in-app notification or email.
Continued use of the App after updates implies acceptance of the new Terms.
